Hive Membership Terms and Conditions

By registering as a member of the Hive Platform (“Platform”), you agree to the following Terms and Conditions (“Terms”). These Terms form a binding agreement between you and MAiNSAiL Ltd, trading as The Hive (“Hive”, “we”, “us”, “our”). MAiNSAiL Ltd’s registered office is 52 High Street, Pinner, Middlesex, HA5 5PW, registered in England and Wales under company number 09545849. Please read these Terms carefully before using our services.

If you do not agree to these Terms, you should not register or should stop using the Platform.

1.  Eligibility for Membership

Membership of the Hive is available to senior-level business professionals. To be eligible you must:

  • Senior professional criteria. Hold a senior role such as executive, director, VP, C-level, or equivalent leadership position, or have significant relevant professional experience in your industry.
  • Be at least 18 years old.
  • Accurate information. Provide accurate, complete, and up-to-date information about your identity, background, and qualifications when applying, and keep that information current throughout your membership.

All membership applications are subject to our review and approval. We may, at our discretion, refuse an application or revoke access if eligibility criteria are not met or if false information has been provided. Membership is personal to you and is non-transferable; only the approved individual may use the account.

We reserve the right to review memberships periodically and to suspend or decline to renew a membership where the individual no longer meets our criteria.

2.  Membership and Benefits

  • Access and rights. Members are entitled to the services and features set out on our website from time to time.
  • Changes to benefits. Hive may amend, remove, or enhance the services available to members as the Platform evolves. Certain new features or events may be offered to specific membership tiers or at additional cost, and we will give you reasonable notice of any material changes.
  • No sharing of membership. Your membership and login credentials are personal to you. You must not share your account or allow access by others. Simultaneous logins or account sharing with non-members are not permitted. If we detect account sharing or misuse, we may suspend or terminate the account.

3.  Services and Platform Features

Hive is an online Platform designed for professional networking, knowledge-sharing, and community engagement within the events and content communities we serve. Key features currently available to members include:

  • Member Directory. A member directory enabling you to find and connect with other senior professionals on the Platform.
  • Events and Webinars. Events and webinars, including virtual conferences, roundtable discussions, and other live events offered exclusively to members, aimed at providing learning opportunities, industry insights, and networking.
  • Resource Library. A shared resource library providing access to best practice guides, research papers, case studies, and other materials provided by Hive.

Hive may add, modify, or remove features from time to time to improve the Platform or adapt to members’ needs. We will endeavour to notify members of significant changes. All services are provided subject to these Terms and must only be used for lawful and professional purposes.

4.  Member Conduct and Acceptable Use

All members are expected to uphold the highest professional standards. Because this is a community of senior business professionals, respectful and lawful behaviour is mandatory. By using Hive, you agree to the following:

  • Professionalism and respect. Treat all other members with courtesy and respect. Harassment, bullying, discrimination, or abusive language or behaviour will not be tolerated, including any content that is offensive on the basis of race, gender, religion, nationality, sexual orientation, or any other personal characteristic.
  • No illegal or harmful activity. You may not use the Platform for any unlawful purpose, to promote illegal activities, or to distribute viruses, malware, or any other harmful code.
  • No advertising or spam. The Platform is for collaboration and knowledge-sharing, not selling products or unsolicited recruitment. You must not advertise, market, or promote any goods or services to members unless expressly permitted by Hive.
  • No unauthorised commercial use. You may not use the Platform to solicit business for yourself or others in ways that compete with or undermine the purpose of the Hive community.
  • Content standards. You are responsible for all content you post or share. You must not post content that infringes anyone’s intellectual property rights, discloses others’ private or confidential information without authorisation, or is inaccurate or misleading. We reserve the right to remove or edit any member content that violates these Terms.
  • No impersonation. You must not impersonate any person or misrepresent your identity, credentials, or company affiliation.
  • Legal compliance. You must comply with all applicable laws in connection with your use of Hive, including data protection, anti-bribery, and anti-competition laws.
  • Platform integrity. You must not attempt to circumvent security measures, access areas of the Platform you are not authorised to use, or take any action that could disrupt or overload the Platform.

Failure to comply with this section may result in suspension or termination of your membership without notice and without entitlement to any refund of fees paid.

5.  Charges and Payments

Membership fees. Hive does not currently charge a fee for membership. If that changes, we will give you advance notice and the opportunity to decide whether you wish to continue.

Paid events and services. We may from time to time organise events or services for which members are required to pay. Any such event or service will be clearly identified as chargeable, and the relevant payment terms (including the mechanism to pay, cancellation rights, and refund policy) will be set out at that time.

Member responsibilities. You are responsible for any costs you personally incur in addition to anything Hive has agreed to cover (for example, travel or accommodation). If you cancel or fail to attend an event that Hive has organised, we reserve the right to charge you for any cancellation costs or other direct losses we incur as a result. You agree to compensate us against any cost, claim, or loss arising from your acts or omissions at our events, including damage to or loss of property belonging to third parties.

6.  Data Protection and Privacy

6.1  How we use your personal data

MAiNSAiL Ltd is registered with the Information Commissioner’s Office (registration number ZB304956). We collect and use your personal data in accordance with our Privacy Policy, which is available at https://www.thehive-network.com/privacy/ and should be read alongside these Terms. Our Data Protection Appointed Person is Stephen Dodds, who can be contacted at dataprivacy@thehive-network.com.

We process your personal data for the purposes of operating the Platform and delivering our services, including event management, member communications, and service improvement. Our Privacy Policy sets out in full the types of personal data we collect, the lawful bases on which we process it, how long we retain it, and your rights as a data subject.

6.2  Sharing your data with sponsors and commercial partners

As part of operating the Platform and our events, we may share your registration and attendance information with the sponsors of our events. This is done on the basis of our and our sponsors’ legitimate interests in facilitating relevant business-to-business communications, as described in our Privacy Policy. Where we share your data in this way:

  • We will inform you at the point of registration for each event that your information may be shared with named sponsors of that event.
  • Sponsors may contact you for marketing purposes relevant to their sponsorship of the event.
  • You may opt out of follow-up communications from any sponsor at any time, either through the unsubscribe mechanism in those communications or by contacting us at dataprivacy@thehive-network.com.

Where you actively interact with a sponsor’s presence at an event, for example by scanning your badge at a sponsor stand or downloading sponsored content, we will share your details with that sponsor on the basis of your consent given at that point.

We do not sell your personal data. Sponsors are required to process any data we share with them in compliance with applicable data protection law and may not use it for purposes unrelated to their engagement with Hive.

6.3  Marketing communications from Hive

We may contact you by email, post, or SMS about events, content, and services offered by Hive that are similar to those you have registered for or engaged with, in accordance with the ‘soft opt-in’ exemption under the Privacy and Electronic Communications Regulations 2003. You can opt out of these communications at any time by using the unsubscribe link in our emails or by contacting us at dataprivacy@thehive-network.com.

6.4  Your rights

Under UK GDPR you have the right to access, rectify, erase, restrict, or object to the processing of your personal data, and the right to data portability where applicable. To exercise any of these rights, please contact Stephen Dodds at dataprivacy@thehive-network.com. If you are not satisfied with our response, you have the right to lodge a complaint with the Information Commissioner’s Office at ico.org.uk.

6.5  Data security

We implement appropriate technical and organisational measures to protect your personal data against unauthorised access, alteration, disclosure, or destruction. However, no system can be guaranteed 100% secure. You are responsible for maintaining the confidentiality of your account credentials and must notify us immediately of any suspected unauthorised access to your account.

6.6  Member-to-member confidentiality

If you participate in a Hive event, group, or discussion in which information is shared in confidence, you are expected to treat that information as confidential unless explicit permission is given to disclose it. You must not disclose or use any non-public information obtained from another member through Hive, including business plans, financial data, trade secrets, or personal data, for any purpose outside of that discussion, without the consent of the member who shared it.

7.  Cookies

We use cookies and similar technologies to operate the Platform and improve your experience. A full list of the cookies we use, their purpose, and their retention periods is set out in our Cookie Policy, available at https://www.thehive-network.com/privacy/. By continuing to use the Platform with cookies enabled, you consent to our use of cookies as described in that policy. You can manage your cookie preferences at any time through your browser settings or our cookie management tool, although disabling certain cookies may affect Platform functionality.

8.  Intellectual Property

8.1  Hive’s intellectual property

The Platform, including all software, code, designs, logos, trademarks, graphics, and content provided by Hive, is the property of Hive or its licensors and is protected by applicable intellectual property laws. We reserve all rights not expressly granted to members. You may not copy, modify, distribute, reverse-engineer, or create derivative works from our Platform or its components without our express written consent. Your membership grants you a limited, revocable, non-transferable right to use the Platform for your personal professional purposes in accordance with these Terms; it does not grant you any ownership of our intellectual property.

8.2  Your content

You retain ownership of any content you create, upload, or post on the Platform. By posting content, you grant Hive a non-exclusive, royalty-free licence to host, store, display, and distribute that content solely for the purpose of operating the Platform and providing services to members. You represent and warrant that you have all necessary rights to post such content and that it does not infringe any third-party rights.

8.3  Use of Hive’s brand

You may not use Hive’s trademarks, logos, or brand features without our prior written consent. You are, however, permitted to state factually that you are a member of Hive (for example, on a LinkedIn profile or CV), provided you do so truthfully and in a non-misleading way.

8.4  Feedback

If you provide us with suggestions, ideas, or feedback about the Platform, you acknowledge that such feedback is given voluntarily. We are free to use, disclose, or implement it without any obligation to you, and any resulting improvements remain our property.

9.  Sponsors

Hive is able to operate and provide services to members in part because of the support of our commercial sponsors. However, Hive does not endorse, guarantee, or assume any responsibility for any content, products, services, or actions of any sponsor. Sponsors are independent third parties and any engagement you have with them is a matter between you and the sponsor. Sponsor communications that you receive as a result of your Hive membership are governed by the sponsor’s own terms and privacy policy. Please refer to Section 6.2 for details of how we share your data with sponsors.

10.  Termination of Membership

Your right to cancel. You may cancel your Hive membership at any time by contacting us or following the cancellation procedure in your account settings. Following cancellation, you will lose access to member-only areas and your account may be deactivated.

Our right to suspend or terminate. Hive may suspend or terminate your membership at our discretion, with or without notice, if we reasonably believe you have violated these Terms or that your continued use of the Platform poses a risk to Hive or other members. Grounds include, but are not limited to: breach of these Terms; non-payment of any charges owed; fraudulent or illegal activity; repeated or serious violations of the Member Conduct provisions; or conduct that harms the integrity or reputation of the Hive community.

Data on termination. We recommend that you retrieve any content or data you wish to keep before terminating your membership. Upon termination, Hive may permanently delete your content from our active systems, subject to any retention obligations under applicable law.

Surviving provisions. Clauses relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law will continue to apply after termination.

11.  Disclaimers and Limitation of Liability

Please read this section carefully, as it limits Hive’s liability to you to the extent permitted by applicable law.

Services provided “as is”. The Platform and all services are provided on an “as is” and “as available” basis. Hive makes no warranties, express or implied, including as to satisfactory quality, fitness for a particular purpose, or uninterrupted, error-free operation. Members use the Platform at their own risk.

No liability for member actions or content. Hive is not responsible for the actions or content of other members or sponsors. Any business decisions or collaborations you enter into through or because of your Hive membership are solely a matter between you and the relevant parties.

Cap on liability. To the maximum extent permitted by law, Hive’s total liability to you for any claims arising out of or relating to these Terms or your membership, whether in contract, tort, or otherwise, shall not exceed the greater of (a) £100 or (b) the total fees paid by you to Hive in the twelve months preceding the claim. Hive will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business opportunities, or data.

Exceptions. Nothing in these Terms limits or excludes Hive’s liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.

Indemnification. You agree to indemnify and hold harmless Hive and its affiliates, officers, employees, and agents from and against any claims, losses, damages, and expenses (including reasonable legal fees) arising from: (a) your misuse of the Platform; (b) your violation of these Terms or applicable law; or (c) any content you post or share on Hive that infringes third-party rights. This indemnification obligation survives termination of your membership.

Force majeure. Hive will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil disturbances, industrial disputes, internet or utility failures, or legal restrictions.

12.  Governing Law and Jurisdiction

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

Subject to the paragraph below, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or relating to these Terms or your use of the Platform.

If you are a consumer resident in the European Union or another jurisdiction that grants mandatory consumer protection rights, nothing in this section prevents you from relying on those rights or bringing a claim in your local courts as permitted by applicable law. To the extent permitted, however, you agree to submit to the jurisdiction of England and Wales.

If you are resident in the United States, any dispute shall be governed by the laws of the State of New York, and you agree that any claim shall be submitted to binding individual arbitration in accordance with the rules of the American Arbitration Association, with venue in New York City. CLASS ACTION PROCEEDINGS ARE NOT PERMITTED.

13.  Miscellaneous Provisions

Changes to these Terms. We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice on the Platform, and by updating the “Last Updated” date above. For any changes that materially and negatively affect your legal rights, we will provide at least 30 days’ advance notice. If you do not agree to the revised Terms, you must stop using the Platform. Continued use after the effective date constitutes your acceptance of the changes.

Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Hive regarding your membership and supersede any prior agreements on the same subject matter.

No waiver. If Hive does not enforce a provision of these Terms on any occasion, that does not constitute a waiver of the right to enforce it in the future.

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remainder of these Terms will continue in full force and effect.

No partnership. Your membership does not create any partnership, joint venture, employment, or agency relationship between you and Hive.

Assignment. You may not assign or transfer your membership or any rights or obligations under these Terms without our prior written consent. Hive may assign or transfer this agreement as part of a merger, acquisition, or sale of assets, or by operation of law.

Third-party rights. A person who is not a party to these Terms has no rights to enforce any term under the Contracts (Rights of Third Parties) Act 1999.

Notices. Hive may send notices by email to the address associated with your account or by posting a notice on the Platform. Legal notices to Hive must be sent in writing by tracked post to our registered office address, with a copy by email to dataprivacy@thehive-network.com.

By registering and using Hive’s services, you acknowledge that you have read, understood, and agree to these Terms. These Terms create a binding legal agreement.
